BY LAWS
of the
Cleveland Area Minority Educator Recruitment Association
(CAMERA)
ARTICLE I – NAME
The name of the organization shall be the Cleveland Area Minority Educator Recruitment Association, hereinafter known as the CAMERA.
ARTICLE II – ASSOCIATION STATUS
CAMERA shall be an independent non-profit organization whose fiscal year shall be established as July 1st thru June 30th and will serve local educational agencies in Northeast Ohio with the Tax ID #14-1895279.
ARTICLE III – PURPOSE OF ASSOCIATION
Develop coordinated recruitment and retention of qualified minority educators that will enable member educational agencies to diversify their faculty.
ARTICLE IV – MEMBERSHIP, DUES AND VOTING RIGHTS
Membership is open to Twenty (20) Northeast Ohio Educational Agencies.
The annual membership fee shall be determined by the elected officers and presented to membership for approval during the final meeting of each fiscal year.
Each Educational Agency shall have one voting representative at each scheduled meeting. Effective July 1, 2010 failure of any Northeast Ohio Educational Agency (hereafter “Agency”) to attend fifty percent (50%) of regular scheduled meetings and the annual CAMERA sponsored recruitment event without proper excuse communicated to the chairperson, shall, at the discretion of the Association, be grounds for removal of such Agency. The Secretary shall keep an attendance roll in this regard. An elected Agency may be removed from the Association by an affirmative majority of the Members.
A review of membership status will be conducted annually.
ARTICLE V – ORGANIZATIONAL OFFICERS
Officers of CAMERA shall include a chairperson, a chairperson-elect, a treasurer and a secretary elected by membership.
ARTICLE VI – ELECTION OF OFFICERS
Election of officers shall be made by the affirmative vote of a majority of members of the Association.
The term of office shall be two years and terms shall be staggered.
In the absence of any Officer, or for any other reason deemed sufficient by the member agencies, the Association may delegate its power or duties to any other Officer.
ARTICLE VII – MEETINGS
Regular meetings shall be held no fewer than six times during the fiscal yearwith additional meetings called by the chairperson on an as-need basis. The first meeting of the year will be held in September and the final meeting in June.
Special subcommittee meetings shall be called as needed.
ARTICLE VIII – AMENDMENT
These bylaws may be amended in whole or in part upon the affirmative vote of a majority of the members of the Association.
ARTICLE IX – ENABLING ACT
If these Bylaws are adopted and are approved by the member agencies, they become effective immediately.
